This Vendor Agreement governs the relationship between Ifiok Global Limited ("Ifiok") and printers ("you", "Vendor") who list services and accept orders through the Ifiok marketplace. It is in addition to the Terms of Service, which apply to every Ifiok user.
Who can be a Vendor
To onboard as a Vendor you must:
- Be a Nigerian-registered business or an individual sole trader operating in Nigeria, with the relevant business registration where applicable.
- Pass our KYC verification: business or individual identity, address, and bank account in your verified name.
- Have the equipment and capacity to produce the categories of work you offer to your stated standard.
Ifiok may refuse, suspend, or end a Vendor relationship at its sole discretion subject to the obligations in this agreement.
Vendor obligations
By accepting a job through Ifiok you agree to:
- Produce to specification. Match the proof the customer approved, including artwork, substrate, size, finish, and quantity (within standard print tolerance).
- Meet the agreed delivery window. If you anticipate a delay, communicate it in the order chat as soon as possible.
- Respond in the order chat within reasonable hours — same business day during weekdays — to keep the customer informed.
- Handle customer artwork confidentially. Designs, logos, and assets uploaded by customers are for the purpose of fulfilling their order only. You may not reuse them for other customers or for your own portfolio without the customer's explicit written consent.
- Comply with Nigerian law and the Acceptable Use Policy.
- Maintain accurate bank details for payouts. You are responsible for any costs caused by stale or incorrect bank details.
Pricing, fees, and payouts
- You set your own prices for each product or job-type you offer.
- Ifiok charges a commission on completed orders. Current commission rates are shown in your printer dashboard; we will give 14 days' notice before any change.
- Customer payment is held by Ifiok until the order is confirmed delivered (or the confirmation window expires). The held amount, less commission, is released to your verified bank account on the next scheduled payout run.
- You are responsible for any tax that applies to your earnings under Nigerian law.
Quality and disputes
- Ifiok's dispute team has the final word on refunds and reproductions when a customer raises an issue.
- Where a dispute is decided in the customer's favour, the refund or reproduction cost is debited from your next payout (or held earnings).
- Repeated disputes resolved against the Vendor — for example, three valid disputes in a rolling 30-day window — trigger a quality review and may result in suspension.
Tier system
Vendors are placed into tiers based on KYC completeness, quality history, and dispute rate. The tier determines the maximum job value you can accept and your visibility in customer-facing search. Tier movement is automatic based on the rules published in your printer dashboard.
Use of the platform
- You may not solicit Ifiok customers to transact off-platform. Repeating customers acquired through Ifiok are subject to platform commission on every order. Off-platform circumvention is grounds for termination.
- You may not list services or accept jobs that require equipment or capacity you do not have.
- You may not operate multiple Vendor accounts to game tier or search ranking.
Confidentiality
Order information (customer name, address, contact, design files) is confidential and may be used only to fulfil the order. KYC information you upload is held by Ifiok under the retention schedule in the Privacy Policy.
Termination
- You can leave Ifiok at any time. Open orders must be completed first, or transferred with the customer's consent.
- Ifiok may suspend or end a Vendor relationship for breach of this agreement, the AUP, or the Terms of Service. Records required by tax, KYC, and fraud-prevention law are retained per the Privacy Policy.
Liability
Each party is responsible for its own acts and omissions. Ifiok's total liability to a Vendor in respect of any claim is limited to the commission Ifiok has earned on orders fulfilled by that Vendor in the preceding 6 months. Nothing in this agreement limits liability that cannot be excluded by law.
Governing law
Nigerian law. Exclusive jurisdiction of the courts of Lagos State.
